Contract Migration/Reissues (CPA):  Assisting Computer Patent Annuities Limited migrate hundreds of clients from old/no contracts to new contracts to protect CPA’s interests and create more effective legal/financial controls.  In the past 18 months, I drafted, negotiated, and administered over 489 contracts with in-house and outside counsel of many entities, including Fortune 500 companies, law firms, educational institutions, and federal, state and local governments.

White Collar Defense Litigation (H&H):  Provided 31 months of litigation support to Hogan & Hartson defending Bristol-Myers Squibb against federal and state criminal investigations.  Managed 40 contract attorneys, paralegals and legal secretaries. 

Software Licensing Consultant (NASD, Inc):               Worked as a consultant reviewing and summarizing over 200 software licensing, hardware, equipment procurement, maintenance, SOWs, and services contracts involving both private entities and the federal government.  Provided legal support to the contracts administrator by offering analysis and legal opinions as well as detailed information on contract and payment terms, restrictions, licensing language, and licensed user information. 

Software Licensing & Contracts:    Act as outside counsel for several private IT and telecommunication companies including Phoenix Technology Solutions, ITMX, Universal IT Solutions, VOIP Training, JB Logix, etc.  Advise these firms on software licensing, contract drafting, negotiation and administration, procurement, IP, due diligence, corporate and business legal issues.  Coordinate setup and incorporation of corp. entities, perform general corporate housekeeping, and negotiate and draft various technology agreements (including software, hardware, and consulting services) for them. 

Discovery Support: Managed between three to more than forty attorneys and legal support staff on several occasions.  Provided discovery support with a focus on mergers, antitrust, class action, corporate criminal investigation, and product liability cases.  Performed due diligence, general corporate housekeeping, and real estate lease reviews for VC funding.  Provided legal consulting to several top law firms in Washington, D.C. and Maryland, including Akin Gump, Boies Shiller, Finkelstein Thompson & Loughran, Hogan & Hartson, Howrey Simon, Shearman & Sterling, Skadden Arps, and Wilmer Cutler.  

Provided litigation support and conducted document pulls, document reviews (mostly Hart-Scott-Rodino second requests) and privilege reviews with a focus on mergers, antitrust, and product liability cases. OutReach Technologies, Inc. (formerly CSTI)   General Counsel & Director of HR
Columbia, Maryland 2001

Managed all Legal and HR activities at OutReach. Effectively negotiated, prepared, and examined contracts involving licenses, purchases, procurement, sales, maintenance, and employment relationships. Negotiated profitable contracts and arrangements between OutReach, vendors, and customers. Successfully negotiated several outstanding contracts/debts resulting in savings of over $478,000 to OutReach (OutReach's 2000 revenue was less than $2,000,000). Contributed significantly to the bottom line by negotiating aggressive contracts with vendors and settling with collection firms for pennies on the dollar.

Reported to the CFO and advised the CEO on legal and HR matters on a day-to-day basis. Promoted after two months from Manager to Director. Integral part of the senior management team at OutReach. Participated in management meetings and minimized risk to OutReach by spelling out various legal issues surrounding decisions. Protected OutReach’s interests and maintained a legally compliant environment. Managed all legal issues with emphasis on intellectual property, contracts, immigration, business, and corporate law. Advised Xpedior’s management on structuring technology and telecommunication transactions, and negotiating and administering contracts for E-Commerce development services. Provided contractual and pricing guidance and advice to the Director. Performed cost/price analysis as applicable to offers received from potential subcontractors/vendors. Negotiated subcontracts, including terms and conditions. Reviewed and analyzed existing and pending procurement agreements with IT and telecom vendors, including Bell Atlantic, WorldCom, and Nextel.
