Trade Secret Licensing Agreements

Trade secrets can take many forms and are quite common in the computer industry.  Many computer companies consider their operating software trade secrets.  A trade secret as defined in Uniform Trade Secrets Act is “information, including a formula, pattern, compilation, program device, method, technique, or process, that: (i) derives economic value, actual or potential, from not being generally known to, other persons who can obtain economic value from its disclosure or use, and (ii) is the subject of efforts that are reasonable under the circumstances to maintain its secrecy.”  DB&LC helps its clients protect their licensed trade secrets by preserving the confidentiality of the trade secret itself with the following agreements:
